Best virtual data room by need

The overall order rewards balance. If one requirement outweighs the rest for you, these six cards re-sort the same scores around that single need.

bestdataroom.net · picks computed from our five-check scores

Each card is chosen by a rule, not by hand. The M&A card looks only at rooms with a Q&A module and an M&A focus, then sorts by the deal features check. The security card sorts by the security check and breaks ties on a regulated or security-first focus. The budget card compares what a four-person team pays per month on the entry plan, so a per-seat price is not mistaken for a flat one. A provider can win only one card, and the runners-up under each pick are the next names on the same rule.

How we score data rooms

Five checks, fixed weights, the same test for every vendor. The full method sits on our rating methodology page.

How the overall score is built: five checks and their weights

  1. 130%

    Deal features

Q&A, permissions, indexing, reporting: the tools a live deal leans on.

Leads now: Ellty, iDeals, Datasite 4.8/5

  2. 225%

    Security

Certifications, encryption, watermarking, access control and audit trail.

Leads now: iDeals, Datasite, Intralinks 4.8/5

  3. 320%

    Ease of setup

How fast a new admin can open a room and invite the other side.

    Leads now: Ellty 4.9/5

  4. 415%

    Pricing clarity

Published prices, predictable bills, no surprise overage.

    Leads now: Ellty 4.9/5

  5. 510%

    Support

Response time and quality when something breaks mid-deal.

    Leads now: iDeals 4.9/5

55% of the score comes from deal features and security, so a low price alone cannot lift a thin room up the list.
bestdataroom.net
Each check is scored out of 10, multiplied by its weight and summed to a score out of 100 (shown as stars out of 5). Leaders are computed from our current scores.

Why deal features carry the most weight

A room is bought for the weeks when twenty outside parties are reading, asking and downloading at once. Question routing, group permissions, indexing and activity reports decide whether those weeks run smoothly, so they set 30% of the score. Security follows closely because a single leaked file can cost more than every subscription on this page combined.

Why price clarity and support still count

A strong room with an unpredictable bill or a slow help desk is a real risk in the final fortnight before signing. We reward providers that show a price up front and answer quickly, but at 25% combined these checks cannot rescue a room that lacks the core toolkit.

The overall rating hides trade-offs. This matrix shows where each provider earns and loses its points.

Editorial scores out of 5, not user-review averages. Darker cells score higher. Ordered as in our ranking.

Read the columns, not just the last one. Providers differ most on ease of setup, where marks run from 3.0 to 4.9 out of 5, and on deal features (3.0 to 4.8). The narrowest band is security, which means most serious vendors now clear the basic bar there and the choice is made elsewhere. If your process has one hard requirement, sort mentally by that column first and use the overall rating to separate whatever is left.

10 providers quote per deal instead of publishing a price

8 of 18 rooms we rank show a price before you talk to sales; for the other 10, budget a week for scoping and a proposal.
bestdataroom.net
Entry-plan list prices from each provider's site; per-seat plans are multiplied by 4 seats. Limits differ by plan, so confirm current pricing with the provider.

A starting price is a floor, not a forecast. Entry plans cap admins, storage or features, and the room you need for a contested sale may sit a tier or two higher. Still, a published number lets you sketch a budget on day one. Quote-only vendors, mostly the large enterprise suites, price each deal on its size, length and service level; that can land a fair figure on a big transaction, but you only learn it after a scoping call. Ask every vendor, priced or not, the same three questions: what the entry plan excludes, what each extra month costs and what happens to your files after closing.

Estimate your data room cost

Set the length of your process, your team and the features you cannot do without. The estimator prices every published plan that fits and lists the quote-only rooms that would also work.

Entry-plan list prices times the months you set; per-seat plans count your team plus about one paid seat per five outside users. Higher tiers, storage and overage are not included. For billing-model ranges and sales tax, use the full pricing calculator.

Which data room for which deal

The overall ranking is a starting point. Each deal type below has its own shortlist and buying notes.

All use cases
Selling a business Owner-led sales need a room the seller can run without IT help, with each buyer walled off in its own group. Shortlist: Ellty · Firmex · SecureDocs Mergers and acquisitions Competitive auctions lean on routed Q&A, staged disclosure and activity reports that show which bidder is serious. Shortlist: iDeals · Datasite · Ellty Startup fundraising A seed or Series A round wants a tidy folder, per-investor view tracking and a bill a small company can carry. Shortlist: Ellty · DocSend · SecureDocs Private equity Funds run several processes a year, so multi-room control and reusable templates matter more than a one-off price. Shortlist: Datasite · iDeals · Intralinks Real estate Property deals carry heavy drawings, leases and surveys, so storage limits and viewer speed come first. Shortlist: Drooms · Ellty · SmartRoom Life sciences licensing Licensing talks expose IP and trial data, which puts view-only access and document rights control at the top. Shortlist: ShareVault · Ansarada · iDeals Legal and litigation Disputes and discovery call for strict access logs, privilege-aware folders and a defensible record of every view. Shortlist: Firmex · SmartRoom · Citrix ShareFile Board and investor reporting A standing board room runs for years, so a predictable annual bill beats pricing sized for a single deal. Shortlist: Ellty · Ansarada · Onehub IPO readiness Pre-listing work brings auditors, underwriters and counsel in together, over a long and formal review cycle. Shortlist: Venue by DFIN · Datasite · Intralinks Restructuring and insolvency Distressed processes move quickly with many creditors, so fast setup and clean permission groups carry the day. Shortlist: Intralinks · Firmex · CapLinked Carve-outs and divestitures Selling one division means hiding the rest of the group, so folder-level permissions and a plan for shared contracts come first. Shortlist: Ellty · Datasite · iDeals Tenders and procurement A bid room must treat every supplier identically, with shared clarification answers and an exportable log. Shortlist: Ellty · SmartRoom · Firmex Audits and compliance reviews Recurring audits reward rooms that tie questions to evidence and bill predictably year after year. Ratings are our editorial scores, not averages of user reviews. How we rate.

Three kinds of rooms in this ranking

The 18 providers fall into three broad groups. Knowing which group a vendor belongs to explains most of its price and feature profile.

10

Enterprise deal suites

Quote-based rooms with a full Q&A workflow, built for banks, law firms and large corporate sellers. Expect onboarding help, round-the-clock support and a price set per project.

iDeals, Datasite, Ansarada, Intralinks, Firmex, Drooms, SmartRoom, DealRoom, ShareVault, Venue by DFIN

3

Deal rooms with a published price

Rooms that still carry structured Q&A and deal permissions but show a monthly rate, so you can compare them on paper before any sales call.

Ellty, CapLinked, SecureDocs

5

Document sharing and lighter rooms

Platforms that protect and track documents well but have no built-in Q&A module. They suit investor updates, client portals and light diligence more than a contested sale.

Box, Citrix ShareFile, Onehub, Digify, DocSend

Across all three groups, 13 of 18 vendors let you try before you pay, 13 include a Q&A module, 12 hold both SOC 2 and ISO 27001, and 5 list built-in AI tools. Only one offers hosting outside the vendor's cloud. Those counts move as vendors ship features, which is why the cards and matrix on this page are generated from our data rather than typed by hand.

How to choose a virtual data room: buying checklist

Eight steps we would follow with our own deal. Work through them with two or three shortlisted rooms side by side.

  1. Size the deal first

Count the people who need access, the documents you will load and the months the process should take. Those three numbers settle most of the choice before any demo.

  2. Watch a question travel

Ask the vendor to route a bidder question to an internal expert, get it approved and publish the answer. If there is no Q&A module, decide where questions will live instead.

  3. Test permissions on a real index

Load a copy of your folder tree, set up two buyer groups and confirm each sees only its folders, including when it tries to download or print.

  4. Match certificates to the other side

Some buyer security questionnaires name ISO 27001; others are satisfied by SOC 2. Learn which your counterparties expect before you sign, not when their IT team asks.

  5. Price the whole timeline

Multiply the entry price by realistic months, add seats on per-user plans and ask what one extra quarter costs if closing slips.

  6. Agree the exit now

Ask how the closing archive is delivered, in what format, how long the room stays readable afterward and whether any of that is billed.

  7. Put support on the clock

Send a real question during the trial at an awkward hour and note how long the answer takes and whether it actually solves the problem.

  8. Name the administrator

If one paralegal or analyst will run the room alone, ease of setup can outweigh a longer feature sheet.

Common mistakes when picking a data room

Each of these has cost sellers time or money in processes we have looked at.

Buying the logo

A famous enterprise brand can be exactly right for a 300-bidder auction and an expensive habit for a ten-buyer sale.

Comparing prices that bill differently

$15/user/mo and $15/mo look alike on paper, but they are very different numbers once eight colleagues need a login.

Running diligence from a shared drive

General file sharing seldom gives per-bidder reports, page-level watermarks or a question log you can hand to counsel at closing.

Loading files before the index is final

Renaming and moving folders after buyers arrive confuses everyone and muddies the activity history you may need later.

Skipping the trial

A week with real documents exposes slow viewers, awkward permission screens and missing features faster than any sales call.

Budgeting for the happy path

Processes slip. A plan that looks cheap over four months can cost far more at nine, so price in a buffer from day one.

Best virtual data rooms: FAQ

Which virtual data room ranks highest right now?

Ellty leads our current scoring at 95/100, ahead of iDeals (92) and Datasite (90). Rankings move when facts change, and the right room still depends on deal size, security demands and budget, which is why the page also sorts picks by need.

How is the ranking calculated?

Every provider gets a mark out of 10 on five checks: deal features (30%), security (25%), ease of setup (20%), pricing clarity (15%), support (10%). The weighted marks add up to a score out of 100. Ratings are editorial, not averages of user reviews.

Which data rooms publish their prices?

8 of the 18 rooms list a starting price: Ellty ($149/mo), Box ($15/user/mo), Citrix ShareFile ($55/mo), CapLinked ($299/mo), SecureDocs ($250/mo), Onehub ($15/mo), Digify ($120/mo) and DocSend ($45/user/mo). The other 10 quote per deal.

Which data rooms offer a free trial?

13 of 18 offer one: Ellty, iDeals, Ansarada, Firmex, DealRoom, Box, Citrix ShareFile, CapLinked, ShareVault, SecureDocs, Onehub, Digify and DocSend. Ellty's runs for 14 days. The rest work through a guided demo.

Which providers hold both SOC 2 and ISO 27001?

12 of 18: iDeals, Datasite, Ansarada, Intralinks, Firmex, Drooms, SmartRoom, DealRoom, Box, Citrix ShareFile, ShareVault and Venue by DFIN. The others list SOC 2 only. If a buyer's questionnaire names ISO 27001, check this before you shortlist.

Which data rooms include AI tools?

In our data, Ellty, Datasite, Ansarada, Drooms and Box list built-in AI tools. What they do varies, so ask for a demo on your own documents.

Can a data room run on our own servers?

Of the rooms we rank, only Drooms offers an on-premise option (Cloud/On-prem). Everything else is cloud hosted.

Is a shared drive good enough for due diligence?

For a handful of trusted readers, sometimes. Once several outside parties need separate access, view reports, watermarks and a formal Q&A record, a purpose-built room is safer. 13 of the 18 providers here include a Q&A module.

How many data rooms should I trial before deciding?

Two or three is enough. Shortlist from the needs cards and the score matrix, load the same sample folder into each and judge them on the same tasks.
